PRÜGEIN TERMS OF SERVICE

These Terms of Service, together with any policies, disclosures, notices, screens, prompts, consents, and rules presented in or through the Service, form a binding legal agreement between you and HORDE PUBLISHING LLC, a Nevada limited liability and its product PRÜGEIN ("PRÜGEIN," "we," "us," or "our").

By accessing, browsing, applying to, registering for, subscribing to, or using PRÜGEIN, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Scope of These Terms

These Terms apply to your access to and use of all PRÜGEIN products and services, including our mobile application, website, member interfaces, account systems, subscriptions, communications tools, community features, uploads, QR and code-based connection tools, map and discovery tools, support channels, and any related content, software, and services, collectively, the "Service."

These Terms apply whether you access the Service through iOS, the web, or any other approved platform.

2. Nature of the Service

PRÜGEIN is a private adult membership platform for connection, discovery, communication, and community. The Service may support romantic, social, professional, platonic, and cultural networking among approved adult members. PRÜGEIN is not marketed or operated as a platform for explicit sexual content, pornography, prostitution, escorting, or hookup facilitation.

The Service may include, without limitation:

account creation and profile management,
application and approval workflows,
paid membership access,
member posts, updates, or signals,
direct or indirect communication tools,
uploads of profile images and other account materials,
QR code or code-based network additions,
map-based discovery and place-based interfaces,
directory, network, community, and related member tools,
trust and safety review, moderation, and enforcement systems.

PRÜGEIN is a curated environment. Access is selective. Admission is not guaranteed. Continued access is not guaranteed.

3. Eligibility

You may use the Service only if all of the following are true:

1. You are at least 18 years old.
2. You are legally able to enter into a binding contract.
3. You are not prohibited from using the Service under applicable law.
4. You will comply with these Terms and all applicable laws.
5. The information you provide is accurate, current, and not misleading.

The Service is intended only for adults. No person under 18 may access or use the Service, create an account, submit personal information, or participate in member activities through PRÜGEIN.

We may require age verification, identity verification, photo verification, device verification, payment verification, phone verification, email verification, or additional screening at any time. We may deny, restrict, suspend, or terminate access if verification is not completed to our satisfaction.

4. Account Registration and Security

To access certain parts of the Service, you may need to create an account.

You agree to:

provide true, accurate, current, and complete information,
keep your information updated,
maintain the confidentiality of your credentials,
use only your own account,
notify us promptly at admin@prugein.com if you suspect unauthorized access or misuse.

You are responsible for all activity that occurs under your account, whether or not authorized by you.

You may not:

create an account using false information,
impersonate another person or entity,
create an account on behalf of another person without permission,
share, sell, lease, or transfer your account,
create multiple accounts to evade moderation, billing, screening, or enforcement.

We may refuse registration, reclaim usernames, require re-verification, or suspend or terminate any account at our discretion.

5. Membership, Admission, and Curation

PRÜGEIN is a private and curated membership environment. Application, registration, payment, or account creation does not guarantee acceptance, approval, or continued access.

We may, in our sole discretion:

accept or reject any application,
place applicants on a waitlist,
request additional information,
approve or deny a membership,
revoke or limit access to features,
pause, suspend, or terminate a member,
determine whether a person remains aligned with the standards of the platform.

We are not required to disclose the reasons for an admission or removal decision.

You acknowledge that curation, discretion, and member safety are core components of the Service.

6. Subscription, Fees, and Billing

Certain features of the Service require a paid membership or other paid access.

By purchasing a subscription or other paid feature, you authorize the applicable payment provider to charge the payment method associated with your purchase for recurring or one-time fees, taxes, and related charges.

PRÜGEIN may offer paid access through:

1. Apple In-App Purchase, for purchases made through the iOS app.
2. Stripe web billing, for purchases made through our website or another direct web checkout flow that we authorize.

Fees are disclosed at the point of purchase. Unless otherwise stated, subscriptions renew automatically until canceled.

You are responsible for maintaining valid payment information. If a payment fails, we may retry the charge, suspend paid access, downgrade your account, cancel your membership, or restrict access to paid features.

We may change pricing prospectively. Any price change will apply going forward, subject to applicable law and platform rules.

7. Grandfathered Pricing

If you become a paid member at a given recurring rate, that recurring rate will remain your rate while your membership remains active and in good standing.

If you cancel your membership, you lose the grandfathered rate. If you later rejoin, you will be subject to the then-current price in effect at the time of re-enrollment.

We reserve the right to determine whether a membership remained continuously active for purposes of grandfathered pricing, especially in cases of failed payments, fraud, chargebacks, abuse, or account termination.

8. Apple Billing Terms

If you purchase through Apple In-App Purchase:

billing is handled by Apple, not by PRÜGEIN,
renewals, cancellations, payment management, and refund handling are generally governed by Apple’s platform rules and your Apple account settings,
you must manage or cancel your subscription through your Apple account unless Apple provides another method,
Apple is not responsible for the Service itself, including support, maintenance, content, or claims arising from PRÜGEIN’s operation of the app, except as required by law.

To the extent required for iOS distribution, you acknowledge that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS app, and Apple has the right to enforce these Terms against you as a third-party beneficiary.

9. Stripe Web Billing Terms

If you purchase through a Stripe-powered web checkout or any other direct web billing flow we authorize:

billing is handled through our payment processor,
you authorize recurring charges for the subscription term you selected,
you must cancel through the applicable web account controls, through any cancellation flow we make available, or by contacting admin@prugein.com before the next renewal date.

You are responsible for any bank fees, currency conversion fees, chargeback costs, or payment disputes associated with your payment method, to the extent permitted by law.

10. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will generally take effect at the end of your current paid billing period unless otherwise stated at the point of purchase.

Refund Policy

PRÜGEIN does not provide refunds by default.

This means, except where required by law:

we do not refund unused time,
we do not refund partial billing periods,
we do not refund because you did not use the Service,
we do not refund because you lost interest,
we do not refund because you were not accepted after a stated non-refundable step, if applicable,
we do not refund because your account was suspended or terminated for violating these Terms.

However, we may, in our sole discretion, grant a courtesy refund, partial refund, service credit, or other exception on a case-by-case basis. Any such exception is voluntary, does not create an obligation, and does not establish a future right.

If your purchase was made through Apple, refund requests may need to be submitted through Apple.

11. No Guarantee of Outcomes

PRÜGEIN does not guarantee any match, connection, conversation, response, relationship, friendship, opportunity, event, introduction, invitation, or outcome.

We do not guarantee that any member will be compatible with you, respond to you, remain active, behave lawfully, behave respectfully, or be who they claim to be.

Use of the Service is at your own risk.

12. Community Standards, Conduct Rules, and Acceptable Use

PRÜGEIN is a moderated, private adult environment. You agree to follow these standards at all times, on platform and in any off-platform conduct that is connected to the Service, other members, or the PRÜGEIN community.

A. You must not use the Service to:

violate any law or regulation,
violate another person’s rights,
harass, threaten, stalk, intimidate, or abuse anyone,
dox, expose, or publish private information,
impersonate another person,
defraud or mislead another user,
evade a ban, block, restriction, or moderation action,
interfere with the safety or operation of the Service.

B. Sexual Content, Nudity, and Private Member Communications

PRÜGEIN is not a platform for pornography, explicit sexual advertising, escorting, prostitution, solicitation. Explicit sexual content is prohibited in public-facing areas of the Service, including profiles, usernames, bios, public posts, captions, public community areas, and any other broadly visible member content.

You may not use the Service to:

post or display pornography or explicit sexual acts in public-facing areas of the Service,
use profiles, posts, usernames, or public content primarily to advertise sexual services or explicit sexual availability,
solicit prostitution, escort arrangements, or unlawful sexual activity,
post fetish listings or graphic sexual solicitations in public or broadly visible areas,
send, request, or distribute intimate or sexually explicit content without consent,
use private communications to harass, pressure, exploit, threaten, or shock another member,
share intimate images of any person without that person’s clear permission,
distribute, trade, sell, or commercially exploit explicit content through the Service,
involve minors in any sexualized, nude, or exploitative content in any way.

All private communications and shared media remain subject to moderation, reporting, restriction, removal, review, and enforcement by PRÜGEIN in our sole discretion.

PRÜGEIN may remove content, restrict accounts, or take any other enforcement action where we believe content or conduct violates these Terms, creates legal or platform risk, undermines the intended purpose of the Service, or threatens member safety.

PRÜGEIN does not promote explicit content exchange as a feature of the Service and may impose feature limits, consent tools, reporting tools, safety warnings, visibility limits, upload restrictions, or other moderation controls on private communications at any time.

C. Consent and safety are mandatory

You may not:

coerce, pressure, threaten, or manipulate another person,
continue unwanted contact after a clear rejection or block,
attempt to obtain intimate content without consent,
threaten to expose messages, photos, or identity,
promote or normalize non-consensual conduct,
use the Service to locate, track, or monitor another person without permission.

D. Minors are strictly prohibited

Any content involving minors, or any attempt to sexualize, exploit, contact, groom, or represent minors in connection with the Service, is strictly prohibited and will result in immediate action, including possible referral to law enforcement.

E. Fraud, deception, and misrepresentation are prohibited

You may not:

use false identity materials,
falsify age, status, profession, or background,
catfish or impersonate,
use bots or automation to fake engagement,
use the platform for scams, phishing, extortion, blackmail, or commercial deception.

F. Commercial misuse is prohibited

You may not use the Service to:

operate an unauthorized business,
mass solicit members,
scrape leads or contacts,
recruit for unrelated services without permission,
sell memberships, invitations, or access,
advertise agencies, studios, escort services, or external platforms,
exploit PRÜGEIN’s member base for commercial gain without our written consent.

G. Content quality and presentation standards

We may remove content that is low quality, misleading, abusive, disruptive, off-brand, spammy, or inconsistent with the community we are building, even if that content is not illegal.

This includes, without limitation:

spam or repetitive posting,
graphic or disturbing media,
hate speech,
racist, sexist, homophobic, transphobic, or discriminatory content,
glorification of violence or self-harm,
obscene usernames or profile text,
inflammatory or destabilizing behavior that degrades the platform environment.

H. Off-platform behavior matters

Because PRÜGEIN is a curated private membership environment, behavior that occurs outside the app may still affect your membership if it threatens the safety, privacy, reputation, or well-being of members or the platform.

We may act on credible reports of off-platform misconduct connected to PRÜGEIN.

13. User Content

"User Content" means any text, photo, profile detail, handle, post, message, signal, comment, upload, or other material you submit, publish, display, store, or transmit through the Service.

You retain ownership of your User Content, subject to the rights you grant us below.

By submitting User Content, you grant PRÜGEIN a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, reproduce, format, process, transmit, display, moderate, review, analyze, adapt for technical delivery, and otherwise use that content as necessary to operate, secure, maintain, improve, and administer the Service.

This license includes the right to:

display your content within the Service,
review content for moderation and safety,
preserve content for evidentiary, compliance, support, or backup purposes,
use automated tools and human review for enforcement and trust and safety functions.

You represent and warrant that:

you own or control the rights necessary to submit the content,
your content does not violate law or third-party rights,
your content is not defamatory, fraudulent, invasive of privacy, or unlawful,
your content complies with these Terms.

We may remove, restrict, edit, or refuse content at any time, with or without notice.

14. Messaging, Posts, and Community Features

If PRÜGEIN offers messaging, posts, signals, exchange features, or other communication tools, you understand that these are private platform tools provided for community use and subject to moderation.

We may review metadata, reports, flags, user complaints, and where permitted, content itself, for safety, legal compliance, fraud prevention, and policy enforcement.

We are not responsible for what members say to each other. We do not endorse member statements, promises, offers, or claims.

15. QR Codes, Network Adds, and Member Connection Tools

PRÜGEIN may allow members to connect through QR codes, codes, scanning tools, or network-add mechanisms.

By using those features, you agree that:

you will use them only with permission,
you will not capture, share, or distribute another member’s code without authorization,
you will not use scanning or code tools for harassment, stalking, scraping, surveillance, or spam,
you understand that a connection does not guarantee communication, access, or consent,
PRÜGEIN may limit the number of connections, pending adds, or network actions,
PRÜGEIN may rotate, invalidate, expire, revoke, or limit any code or token at any time for safety or operational reasons.

Any off-platform interaction that follows a connection is entirely your responsibility.

16. Map, Discovery, and Location Features

PRÜGEIN may include map-based discovery, approximate location features, or place-based interfaces.

You understand and agree that:

location-related displays may be approximate, generalized, delayed, masked, clustered, or otherwise altered for privacy and safety,
map interfaces may show relative or nearby presence rather than precise location,
not all displayed information will be current, complete, or accurate,
you may not attempt to infer, reconstruct, reverse engineer, triangulate, or identify another member’s exact location,
you use all location-related features at your own risk.

We may enable, disable, restrict, or change any discovery or map functionality at any time.

17. Uploads and Submitted Materials

If the Service allows uploads, you may submit only lawful content and only content you have the right to submit.

You may not upload:

malware,
spyware,
corrupt files,
deceptive files,
infringing materials,
explicit sexual content,
illegal content,
another person’s documents, photos, or identifying materials without permission.

We may reject, quarantine, scan, remove, resize, reformat, or delete any uploaded material.

18. Privacy and Data Handling

Your use of the Service is also subject to our privacy practices, as disclosed through the Service.

By using PRÜGEIN, you acknowledge that we may collect, use, process, store, and disclose information as reasonably necessary to:

provide the Service,
authenticate members,
process payments,
maintain security,
investigate abuse,
moderate content,
communicate with you,
comply with law,
enforce these Terms,
protect PRÜGEIN, our members, and third parties.

We may use a combination of automated systems and human review for fraud prevention, content moderation, safety enforcement, and operational support.

19. Reports, Investigations, and Enforcement

We may investigate any suspected violation of these Terms, any user complaint, any payment dispute, any safety concern, or any misuse of the Service.

We may take any action we consider appropriate, including:

issuing a warning,
removing content,
hiding content,
restricting features,
requiring re-verification,
limiting visibility,
pausing or freezing an account,
suspending or terminating access,
canceling a membership,
revoking grandfathered pricing,
reporting conduct to payment providers, app platforms, service providers, or law enforcement, where appropriate.

We are not required to provide advance notice, a detailed explanation, or an appeal process.

20. Off-Platform Interactions and Assumption of Risk

You are solely responsible for your decisions to communicate with, meet, visit, host, travel with, transact with, or otherwise interact with any other person you encounter through PRÜGEIN.

PRÜGEIN does not conduct universal criminal background checks on all members and does not guarantee the identity, safety, intentions, honesty, or conduct of any user.

Any interaction, whether online or offline, is at your own risk.

You should use independent judgment, protect your privacy, verify information where appropriate, and take reasonable safety precautions.

21. Limited License

Subject to your compliance with these Terms, PRÜGEIN grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, lawful, internal use only.

You may not:

copy, reproduce, distribute, or publicly display the Service except as expressly permitted,
reverse engineer or decompile the Service,
extract source code,
circumvent access controls,
scrape or harvest data,
interfere with the Service or its infrastructure,
use the Service for unauthorized commercial purposes.

22. Intellectual Property

The Service, including all software, design, interface elements, graphics, logos, text, curation, branding, databases, compilations, workflows, and PRÜGEIN marks, is owned by HORDE PUBLISHING LLC or its licensors and is protected by law.

Nothing in these Terms transfers ownership of any PRÜGEIN intellectual property to you.

If you submit feedback, suggestions, or ideas regarding the Service, we may use them without restriction or compensation.

23. Third-Party Services and Links

The Service may integrate with or link to third-party services, including payment processors, app stores, hosting providers, mapping providers, analytics tools, communication tools, and external websites.

We are not responsible for the content, availability, accuracy, or practices of third parties.

Your use of third-party services is governed by those third parties’ own terms and policies.

24. Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice to:

Your notice should include sufficient detail for us to identify the claimed work, the allegedly infringing material, your contact information, your good faith statement, and your signature or electronic equivalent.

25. Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your account or access to all or part of the Service at any time, with or without notice, for any reason, including suspected breach, fraud, abuse, safety risk, nonpayment, legal risk, reputational risk, or business reasons.

Upon termination:

your right to use the Service ends immediately,
your access to content or features may end,
we may retain records as permitted or required by law,
sections of these Terms that by their nature should survive termination will survive.

26. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORDE PUBLISHING LLC AND PRÜGEIN DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

We do not warrant that:

the Service will always be available,
the Service will be secure or error-free,
any feature will continue to exist,
any message or content will be delivered,
any member will respond,
any community outcome will occur,
any location or discovery display will be accurate,
any content will remain available or stored indefinitely.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORDE PUBLISHING LLC, PRÜGEIN, AND THEIR MEMBERS, MANAGERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PERSONAL LOSS ARISING OUT OF OR RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO US, IF ANY, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
2. ONE HUNDRED U.S. DOLLARS, $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

28. Indemnification

You agree to defend, indemnify, and hold harmless HORDE PUBLISHING LLC, PRÜGEIN, and their members, managers, owners, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

your use of the Service,
your User Content,
your violation of these Terms,
your violation of law,
your interaction with another person connected to the Service,
your infringement or misappropriation of another person’s rights.

29. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights.

A. Informal Dispute Resolution First

Before filing a claim against PRÜGEIN or HORDE PUBLISHING LLC, you agree to first send a written notice of dispute to:

Your notice must include your name, account email, a description of the dispute, and the relief you seek.

We will attempt to resolve the dispute informally. If the dispute is not resolved within 30 days after receipt of the notice, either party may proceed as described below.

B. Binding Arbitration

Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association, AAA, under its applicable consumer arbitration rules.

The arbitration will be conducted in Clark County, Nevada, unless the applicable rules require another location or the parties agree otherwise.

The arbitrator, and not any court or agency, will have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except where applicable law provides otherwise.

C. Small Claims Court Carve-Out

Either party may bring an eligible claim in small claims court instead of arbitration, provided the claim remains individual and within that court’s jurisdictional limits.

D. Injunctive Relief Carve-Out

Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction for misuse of intellectual property, unauthorized access, confidentiality breaches, security abuse, or similar urgent harm.

E. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PRÜGEIN AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

The arbitrator may not consolidate more than one person’s claims and may not preside over any class or representative proceeding.

F. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PRÜGEIN WAIVE ANY RIGHT TO A JURY TRIAL FOR CLAIMS RESOLVED IN COURT TO THE EXTENT SUCH WAIVER IS PERMITTED.

G. Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to admin@prugein.com within 30 days of the date you first accept these Terms.

Your opt-out notice must include your full name, the email associated with your account, and a clear statement that you wish to opt out of arbitration.

If you opt out, the class action waiver and arbitration requirement in this section will not apply to you, but the rest of these Terms will remain in effect.

30. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Nevada, without regard to conflict of law principles, except to the extent federal law applies.

Subject to the arbitration section above, any non-arbitrable dispute must be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction and venue there.

31. Electronic Communications

You consent to receive communications from us electronically, including by email, app notice, push notification, text message where enabled, or other digital means.

You agree that electronic communications satisfy any requirement that such communications be in writing.

32. Export, Sanctions, and Compliance

You may not use the Service in violation of U.S. export controls, sanctions laws, or other applicable restrictions.

You represent that you are not prohibited from receiving the Service under applicable law.

33. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, at any time in connection with a merger, acquisition, reorganization, sale of assets, financing, or other business transaction.

34. Force Majeure

We are not liable for any delay or failure in performance caused by events beyond our reasonable control, including outages, acts of God, natural disasters, war, terrorism, labor disputes, civil unrest, internet failures, governmental actions, or failures of third-party providers.

35. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.

36. Waiver

No waiver of any provision of these Terms will be deemed a further or continuing waiver of that provision or any other provision.

37. Entire Agreement

These Terms constitute the entire agreement between you and HORDE PUBLISHING LLC regarding the Service and supersede prior or contemporaneous understandings relating to the Service, except for any separate written agreement expressly signed by HORDE PUBLISHING LLC.
